1. Acceptance of Terms

By accessing or using the SudarsanLabs website (sudarsan.net.in) and/or any software products provided by SudarsanLabs ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or products.

2. Services & Products

2.1 Software Products

SudarsanLabs develops and distributes desktop software applications. Products may be offered as:

  • Free Utilities: Distributed at no cost for personal and professional use (e.g., PasteBypass).
  • Evaluation Builds: Time-limited trial versions for product testing and assessment.
  • Commercial Licenses: Paid licenses granting permanent usage rights per the license agreement.
  • Source Code Licenses: Full codebase access for modification and internal deployment.

2.2 Custom Engineering Services

Custom software development, AI/RAG systems, mobile MVPs, and automation services are governed by individual project agreements. These Terms of Service apply to website usage; specific project terms are outlined in separate Statements of Work (SOW).

3. Intellectual Property

3.1 Our IP

All software products, website content, code, designs, trademarks, and documentation are the intellectual property of SudarsanLabs unless explicitly transferred via a written license agreement or project contract.

3.2 Custom Project IP

For custom engineering projects, 100% intellectual property rights are transferred to the client upon full payment and project completion, as specified in the project agreement.

4. License Grant

4.1 Free Utilities

Free utilities are provided under a permissive license for personal and commercial use. You may not reverse-engineer, decompile, or redistribute modified versions without written consent.

4.2 Commercial Products

Commercial licenses grant non-transferable, non-exclusive rights to use the software as specified in the license agreement. Redistribution, sub-licensing, or unauthorized sharing of licensed software is prohibited.

5. User Responsibilities

By using our products and services, you agree to:

  • Use software products only for lawful purposes and in compliance with applicable laws.
  • Not attempt to circumvent any license restrictions, security measures, or access controls.
  • Not use our software to violate any third-party rights, including privacy and intellectual property.
  • Provide accurate information when requesting evaluation builds or submitting contact forms.

6. Disclaimer of Warranties

Software products and services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive for quality and reliability, we do not guarantee that our software will be error-free, uninterrupted, or compatible with all systems and configurations.

7. Limitation of Liability

To the maximum extent permitted by applicable law, SudarsanLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from:

  • Your use or inability to use our software products.
  • Any errors, bugs, or security vulnerabilities in our software.
  • Any third-party actions or content accessed through our products.

8. Evaluation Builds

Evaluation builds are provided for testing purposes only. They may include time limitations, feature restrictions, or watermarks. Evaluation builds must not be used in production environments or redistributed to third parties.

9. Payment Terms

For commercial licenses and custom engineering services, payment terms are as follows:

  • Payments are due as specified in the invoice or project agreement.
  • All fees are non-refundable unless otherwise stated in writing.
  • Prices are quoted in the currency specified at the time of agreement.

10. Termination

We reserve the right to terminate or suspend access to our services at any time, with or without cause, with or without notice. Upon termination, your license to use any evaluation builds is immediately revoked.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in India.

12. Changes to Terms

We may modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website and products after changes constitutes acceptance of the revised terms.
